AMBASSADOR TERMS AND CONDITIONS

1. Purpose and Role

1.1 These terms and conditions outline the responsibilities and obligations of the Brand Ambassador ("Ambassador") when representing Baraka Financial Limited (baraka).

1.2 Baraka is based in the Dubai International Financial Centre (DIFC) and regulated by the Dubai Financial Services Authority (DFSA).

1.3 The Ambassador agrees to serve as a positive representative of baraka enhancing its brand image and promoting its financial services in strict adherence to these guidelines and all applicable laws and regulations.

2. Eligibility and Application Process

2.1 To be considered for the program individuals must first meet specific eligibility criteria.

2.2 Eligibility criteria include maintaining at least 5,000 followers on Instagram, YouTube or TikTok.

2.3 Ambassadors must hold a funded active baraka account with a minimum of three months trading history within the app. Ambassadors must make a monthly trade of $100 or more and maintain a minimum of $3,000 in their account.

2.4 Content style must consistently align with baraka’s tone which is educational, transparent and compliant.

2.5 Priority is given to users who already share market insights investing journeys or educational finance content.

2.6 The formal application process requires completing the form found on the Ambassador Program Landing Page.

2.7 Upon approval and acceptance of these terms Ambassadors are officially onboarded into the program.

3. Program Operation and Engagement

3.1 The program operates on a performance-based model where approved ambassadors promote services using a unique referral link.

3.2 Performance measurement involves tracking app installs which convert into funded accounts.

3.3 Rewards are tiered based on performance metrics and automatically updated monthly.

3.4 An Inactivity Policy is in place. Ambassador status may be reviewed or paused if an Ambassador records no posts or referrals for two consecutive months. Reactivation requires a re-application process.

3.5 Ambassadors receive various perks including free trades, early access to features, merchandise and community access.

4. Content Creation and Compliance Guidelines

4.1 The Ambassador agrees to adhere strictly to all content guidelines provided on the Ambassador Landing Page.

4.2 All content must align with program values messaging and DFSA regulatory requirements.

4.3 A minimum of two compliant posts or stories per month is required tagging @getbaraka.

4.4 Prior approval is mandatory for all content. Submissions must be made via designated channels for written approval before publishing.

4.5 The Ambassador must ensure all content is clear, fair and not misleading. All statements should be accurate and substantiated where necessary.

4.6 Prohibited content includes any form of financial or investment advice, predictions of market movements or guarantees regarding financial performance.

4.7 The Ambassador must include clear disclaimers in all relevant communications indicating that past performance is not indicative of future results.

5. Confidentiality and Monitoring

5.1 The Ambassador agrees to maintain strict confidentiality regarding any proprietary or sensitive information accessed during the ambassadorship. This obligation survives termination of the agreement.

5.2 Content that has been posted may be monitored to ensure ongoing compliance with policies and guidelines.

5.3 The Ambassador agrees to immediately report any potential issues, concerns or breaches of these terms.

6. Termination and Indemnification

6.1 The ambassadorship and this agreement may be terminated at any time with or without cause if the Ambassador violates these terms and conditions or applicable laws or regulations.

6.2 The Ambassador agrees to indemnify, defend and hold harmless baraka its affiliates directors officers employees and representatives from any claims damages liabilities and expenses arising from the Ambassador’s breach of these terms negligence or third-party claims related to content created.

7. Acceptance of Agreement

7.1 By engaging in the ambassadorship role the Ambassador acknowledges that they have read, understood and agree to abide by all the terms and conditions set forth herein.

7.2 The Ambassador’s continuation in this role signifies formal acceptance of this agreement and any future updates or modifications made by baraka.

1.4 The Ambassador must not engage in conduct that could harm baraka’s reputation or misrepresent its services.

2. Eligibility and Application Process

2.1 To be considered for the program, individuals must first meet specific eligibility criteria. 

2.2 Eligibility criteria include maintaining at least 5,000 followers on Instagram, X, YouTube or TikTok. 

2.3 Ambassadors must hold a funded, active baraka account with a minimum of three months trading history within the app. Ambassadors must make a monthly trade of $100 or more and maintain a minimum of $3,000 in their account.

2.8 baraka reserves the right to reject or terminate any application at its sole discretion without obligation to provide reasons.

3.2 Performance measurement involves tracking app installs which convert into funded accounts. 

3.3 Rewards are tiered based on performance metrics and automatically updated monthly.

3.4 An Inactivity Policy is in place. Ambassador status may be reviewed or paused if an Ambassador records no posts or referrals for two consecutive months. Reactivation requires a re-application process.

3.5 Ambassadors receive various perks including free trades, early access to features, digital merchandise ($100 gift card) and community access.

3.6 The types and availability of merchandise provided as perks may change from time to time at baraka's discretion.

3.7 Fraudulent or self-referrals will result in disqualification and forfeiture of rewards. 

3.8 Rewards are processed within 30 business days after verification of referral metrics.

3.9 Rewards may be issued in the form of stock credits; Ambassadors are solely responsible for any and all personal tax liabilities associated with receiving rewards.

4. Content Creation and Compliance Guidelines

4.1 The Ambassador agrees to adhere strictly to all content guidelines provided on the Ambassador Landing Page. 

4.2 All content must align with program values, messaging, and DFSA regulatory requirements. 

4.3 A minimum of two compliant posts or stories per month is required, tagging @getbaraka.com.

4.7 Specific Content Prohibitions: The Ambassador is expressly prohibited from including the following in any content: 

4.7.1 Financial guarantees or promises of specific returns. 

4.7.2 Comparative claims against competitors.

4.7.3 Political or religious content. 

4.7.4 Misuse or disclosure of confidential, proprietary, or non-public information. 

4.8 By publishing content under this program, the Ambassador grants baraka a non-exclusive, royalty-free, worldwide license to repost, edit, and use the content for its own marketing, promotional, and commercial purposes.

4.9 baraka may request the immediate removal of any content deemed non-compliant or reputationally harmful, and the Ambassador must comply promptly. 

4.10 The Ambassador must include clear disclaimers in all relevant communications indicating that past performance is not indicative of future results.

5. Confidentiality and Monitoring

5.1 The Ambassador agrees to maintain strict confidentiality regarding any proprietary or sensitive information accessed during the ambassadorship. This obligation survives termination of the agreement. 

5.2 Content that has been posted may be monitored to ensure ongoing compliance with policies and guidelines. 

5.3 The Ambassador agrees to immediately report any potential issues, concerns or breaches of these terms.

6. Termination and Indemnification

6.3 baraka shall not be liable for indirect, consequential, or incidental damages arising from participation in the program.

7. Acceptance of Agreement

7.1 By engaging in the ambassadorship role, the Ambassador acknowledges that they have read, understood and agreed to abide by all the terms and conditions set forth herein.

7.2 The Ambassador’s continuation in this role signifies formal acceptance of this agreement and any future updates or modifications made by baraka. 

7.3 For any questions or clarifications regarding these terms, the Ambassador should contact baraka directly. 

7.4 baraka may amend these terms at any time. Updated terms will be communicated via the Ambassador Portal or official email, and continued participation constitutes acceptance of the updated terms.
